Purchase and sale agreement (PSA)
A purchase and sale agreement is the binding contract in which a buyer agrees to buy and a seller agrees to sell real property on stated terms. For data center land it sets price, deposits, the due diligence period, closing conditions such as power or zoning approvals, and title and survey requirements. Contingencies tied to utility commitments are common and heavily negotiated.
